Unless otherwise specified, prices are quoted in Canadian dollars for Goods being sold from inventory, Montfort International ltd’s delivery truck at Vendor’s warehouse, and FOB manufacturer’s plant for domestic Goods being drop-shipped to Purchaser. Interest at the rate of 1.5% per month will be charged on past due accounts (18% per annum). If Purchaser’s account is past due, in addition to other rights and remedies, Montfort International ltd may suspend shipments, deliveries or performance hereunder or under any other contract with Purchaser until Purchaser’s account becomes current.

Montfort International ltd disclaims any liability for failure of performance or malfunction of the goods supplied by Montfort International ltd pursuant to the agreement which in Montfort International ltd’s opinion is the direct or indirect result of any action or inaction by customer or any party other than Montfort International ltd. This includes, without limitation, abuse, neglect, accident, improper installation, modifications or repairs not made by Montfort International ltd, incorrect or inappropriate use or application, failure to maintain, unsuitability or incompatibility with other products or equipment not supplied by Montfort International ltd, or the presence of non-recommended fluids or other contaminants. Notwithstanding any provision hereof which may be or appear to be to the contrary, in no event whatsoever shall Montfort International ltd’s liability in respect to any claim or action of any kind arising out of, in connection with, or resulting from the manufacture, sale, delivery, resale, use or repair of the goods or component parts thereof or the services rendered by rockford systems pursuant to the agreement, or any breach by Montfort International ltd of any term of the agreement, exceed the price for the goods or component part thereof or service which gives rise to such claim or action.

Subject to the following, Montfort International Ltd shall ensure that purchaser benefits from existing manufacturer warranty and in no event shall Montfort International Ltd. warranty exceed the warranty given by the manufacturer of the goods. Any product susceptible to be returned and/or claim of warranty is subject to an inspection and an evaluation from our department of quality control which will confirm or will counter that the aforementioned product was used in a context of normal use. Is excluded from the warranty; Travel and living expenses for the technicians (Starting point: Québec City, QC, G1P 3T3) and any product that has been modified, improperly used, misinstalled, and/or improperly handled. The warranty will not cover damage to the equipment nor faulty operation resulting from misuse, abuse, negligence, accidents, incorrect maintenance or inadequate maintenance of the product. The warranty will not cover products whose installations are not in accordance with the installation instructions and whose use has been made under abnormal mechanical or environmental conditions. Parts not covered by this warranty are normal wear and consumable parts such as (but not limited to) abrasive belts, greases and lubricants, batteries, lamps and blades. Products found by Montfort International ltd to be misused, abused or neglected are not covered under this warranty.
The sole and exclusive remedy of the customer and the only obligation of Montfort International ltd under such guarantee, at the sole discretion of Montfort International ltd, will be to replace or repair the defective or nonconforming goods or to adjust its purchase price.
This warranty is the sole and exclusive warranty, express or implied, provided by Montfort International ltd and is in lieu of all other warranties of any nature whatsoever, contractual, legal, statutory or other and whether for merchantability, quality, fitness or otherwise.
On request formulated by Montfort International ltd in the term of each of the phases of service offer indicated in the specifications, the Purchaser has to verify, revise, test or otherwise appraise the result of the services given until now by Montfort International ltd. For a maximal delay of five (5) days following the request of Montfort International ltd, the Purchaser has to approve or refuse the work made by Montfort International ltd. If the customer approves the service supplied or omits to show his approval or his refusal inside the aforementioned delay, the service supplied is considered approved and made according to the specifications and Montfort International ltd can continue its work, if necessary. If the Purchaser refuses the service supplied, in all or in part, he has to inform Montfort International ltd inside the aforementioned delay and in writing about any error, omission, non-compliance in the specifications or the other motive for his refusal, by giving the useful indications and the precision necessary for a good understanding of the liability. Montfort International ltd has then a ten (10) working days period to proceed to the correction of the blamed points and subject again to the Purchaser the result of its modification. If Montfort International ltd disagrees with the Purchaser on one or some of the points raised in the notice of refusal, he has to announce his position in writing to the Purchaser for a maximal delay of five (5) days following the reception of the aforementioned notice of refusal.
All right, title and interest in and to the Goods shall remain with Montfort International ltd until such Goods have been paid for in full. However, such Goods shall be entirely at Purchaser’s risk from the time placed on a common carrier and the loss, damage, deterioration or destruction of the Goods thereafter shall not release purchaser from its obligation hereunder. In the event of any default to make payment by the Purchaser, Montfort International ltd shall have the right to take possession of any Goods already delivered and to remove same without notice and without legal proceeding, in which case all payments theretofore made shall be credited to the Purchaser’s account after deduction of a reasonable rental fee and the costs of repossession, if any, including reasonable legal fees. Purchaser hereby agrees to defend, indemnify, and save harmless Montfort International ltd from any and all loss arising out of any or all claims, suits and demands by reason of, but not limited to, the retention of title to the Goods by Montfort International ltd while same are at the Purchaser’s risk.
